2 Acceptance of Terms

An engagement typically begins with a discovery call or meeting. Following this, we may issue a written proposal or Statement of Work (SoW). No engagement is considered confirmed until both parties have agreed in writing (email confirmation is acceptable).

5 Fees, Payments & GST

5.1 Fee Structure

Our fees are outlined in each engagement proposal or Statement of Work. We may charge on a project, retainer, or daily/hourly rate basis. All fees are in Indian Rupees (INR) unless explicitly stated otherwise.

All fees are subject to GST at the applicable rate. Our GSTIN is 27AAGCP1234M1ZX. GST will be itemised separately on all invoices.

Out-of-pocket expenses (travel, accommodation, printing, etc.) will be billed separately at cost with supporting documentation unless a fixed expense budget is included in the agreed fees.

6 Cancellation & Refund Policy

We reserve the right to withdraw from an engagement if payment obligations are not met, the client withholds information, or circumstances make it impossible or unethical to continue. We will provide reasonable notice and refund advance payment proportionate to undelivered work.

Refunds will not be provided after a report or digital deliverable has been delivered unless a material defect in delivery is demonstrated.

7 Intellectual Property

All content on the Pragati Digital Solution website is our intellectual property. Unless agreed otherwise in writing, deliverables become the client's property upon full payment. Our underlying methodologies, templates, and frameworks remain exclusively ours. Client-provided materials remain the client's intellectual property.

8 Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during an engagement. This obligation survives the termination of the engagement for three (3) years, unless the information becomes publicly available, was already known to the receiving party, or is required by law.

9 Website Use & Acceptable Conduct

You agree not to use our website to violate applicable Indian laws, transmit spam, attempt unauthorised access, introduce malicious code, misrepresent your identity, reproduce our content without permission, or use automated scraping tools. We reserve the right to restrict access for any user who violates these conditions.

Pragati Digital Solution is committed to accurate and honest advertising. Testimonials and case studies are based on real client experiences; individual results will vary. Lead form submissions do not constitute a service agreement or financial commitment. Promotional offers are valid only for the conditions stated.

11 Disclaimers & Limitation of Liability

Our services are advisory and consultative. We do not guarantee specific business outcomes. To the fullest extent permitted by law, Pragati Digital Solution shall not be liable for indirect, consequential, or punitive damages. Our total aggregate liability shall not exceed the total fees paid by you in the three months preceding the event giving rise to the claim. Nothing in our services constitutes legal, financial, or medical advice.

You agree to indemnify and hold harmless Pragati Digital Solution, its principals, associates, and agents from any claims, liabilities, damages, and expenses arising from your use of our website or services in violation of these Terms, your violation of applicable law, inaccurate information you provided to us, or any breach of confidentiality obligations on your part.

These Terms shall be governed by the laws of India. The courts located in Pune, Maharashtra, India shall have exclusive jurisdiction over any disputes.

14.2 Good Faith Resolution

Both parties agree to first attempt to resolve disputes in good faith through direct discussion, initiated by written notice.

14.3 Mediation & Arbitration

If unresolved within 30 days, disputes shall be referred to mediation, and if mediation fails, to binding arbitration under the Arbitration and Conciliation Act, 1996, conducted in Pune, Maharashtra.

We reserve the right to update these Terms at any time. Changes are effective when posted with an updated "Last Updated" date. Your continued use after changes constitutes acceptance of the revised Terms.
